Statute
- 1) Name, place, financial year
(1) The association bears the name Club 00237 after registration in the register of the association name (eV) is the suffix “registered association” attached.
(2) The association is based in Berlin.
(3) The financial year is the calendar year.

(1) The purpose of the association is the promotion of non-profit development projects in Cameroon and cooperation in education and health, in the agricultural sector, the environment and the cultural field, the support of needy people in particular children and women in Cameroon. The purpose is achieved in particular by:
- Holding regular meetings of the Association
- Informing the public about its activities
- Planning and implementing development projects
- Cooperating with other national and international organizations
- Influencing on development policy choices and decision-makers
- Initiating and supporting social, sporting, agricultural activities
(2) The association may work together with other associations, cooperative communities’ and also with non-governmental organizations if they pursue the same purposes. The association also wants to raise funds and to pass according to § 58 No.1 AO in order to achieve the purposes referred to in § 2 para.1.
(3) Men and women are addressed by these Statutes and subject alike with their rights and obligations. For the sake of easier legibility of the statutes text the masculine form is used in these Articles consistently.
(4) The Association is active; it does not pursue its own economic purposes.
(5) The association’s funds may only be used for statutory purposes. Members of the association receive no benefits from the association. No person may benefit from expenditures that are foreign to the purpose of the association, or from disproportionately high remuneration to be favored.
(6) The association pursues exclusively and directly charitable purposes within the meaning of section “tax-privileged purposes” of the Tax Code.
- 3 Membership
(1) Member of the association can be any natural and legal person of public and private law that is committed to the purposes and objectives of the association. A written application must be submitted to the Board. The Board decides on the application for membership. A recording claim does not exist.

(3) Membership ends
- with death
- by resignation
- by exclusion from the association
- by deleting from the list of members, if a member is six months of payment of contributions.
(4) The withdrawal must be declared in writing to the Board by registered mail with return receipt. It is possible with a notice period of three months each time.
(5) A member may be expelled from the association if it has failed to seriously against the interests of the association and has behaved club damaging.
(6) Decides on the exclusion of the Executive Board by a simple majority finally. An appeal against the decision of expulsion does not take place. Eligible applicants for the association exclusion are each member. The member concerned shall be given a fair hearing for a period of four weeks after receipt from the Board of written exclusion letter. During the rest exclusion procedure the member keep all his rights. Upon termination of membership are not entitled to a portion of the association’s assets.
- 4 Membership Fees
(1) There will be levied, the amount of which is determined by the Board at the beginning of fiscal contributions.
(2) All members are required to pay the yearly contribution.
(3) In order to enforce its goals the Club 00237 eV rely on membership fees and other donations.
(4) The contributions are not to be paid back when members are excluded.
- 5 Organs
The association is organized as follow:
- A Board of Directors
- A General Assembly
- 6 The Board of Directors
(2) The Board consists of three persons,
- the Chairman
- Treasurer
- the Secretary
(2) Board of Directors within the meaning of § 26 BGB, the board members are according to § 6 § 1 of the Articles of Association. Any two of three board members are jointly authorized to represent the association judicially and extra judicially. The board is elected for a term of two years.
(3) The Management Board conducts the business of the association and takes care of all administrative tasks and all tasks that are not assigned by statute or law to another organ. He has the following duties:
- that the resolutions of the General Assembly
- the preparation, convening and chairing the meeting
(4) The members of the board shall remain in office until a new board is elected by the General Assembly. Decisive is the registration of the newly elected Executive Board in the Register of Associations.
(5) If in the current parliamentary term out of office, so can the Governing Board from among the club members complete a Member of the Board by co-option.
(6) The decision of the Board is carried out in board meetings that take place usually every 3 months and which invites the Chairman.
(7) The Resolution on individual items can by circulation via e-mail, electronic done as part of a conference call or by making appropriate use. It shall, as far as nothing else is determined, the provisions of these Articles.
- 7 of tasks within the Board (core tasks)
The board members gem. 6 para. 1 of these Articles are legal representatives of the association with all the associated rights and obligations. The core responsibilities of the Board members are determined as follows:
(1) Chairman: represent the Association in legal relations against natural and legal persons, public and private bodies, monitoring the performance of tasks of the members of the Board and other bodies.
(2) Treasurer: completion of all tax, social security law and other legal duties in finance, accounting, financial accounting, preparation and filing of tax returns, reports for social area.
(3) Secretary: General Representative of the Chairman, audit and tax law relevant facts, dealing with all administrative tasks of the Association, writing and record keeping in the committee meetings, press and public relations, support the association’s homepage.
The Management Board may adopt on the specified core tasks also a business and task distribution plan.
- 8 Members’ Meeting
(1) General Assembly is held annually in the first quarter of the year. It consists of the Members the association.
(2) A general meeting shall be convened if the interests of the association so requires or if the convening of one-fifth of the members, stating the purpose and the reasons are submitted to the Board in writing.
(3) Any general meeting shall be convened in writing by the Chief Executive Officer under a retention period of two weeks.
(4) A chairman shall be elected by the General Assembly. He chairs the General Assembly.
(5) The General Assembly is responsible for overseeing the management ladder.
(6) When taking decisions, the majority of valid votes cast. Abstentions are not taken into consideration.
(7) The method of voting is basically determined by the chairman. On request of one-third of the members a new vote can take place.
(8) All adult members have a right to vote.
- 9 Meeting Minutes
(1) The progress and decisions of the board meetings and the general meetings are documented in a meeting minutes.
(2) These are created by the secretary. In his absence a member should be assigned at the beginning of the assembly to make the meeting minutes.
(3) The minutes shall be signed by the secretary and the chairman of the meeting.
- 10 The Resolution
(1) The dissolution of the association can only be decided at a meeting convened for this purpose. Meeting with ⅔ of the valid votes cast. Abstentions are not taken into consideration.
(2) Upon failure of the public benefit purpose and upon dissolution of the association or its cancellation the association’s assets falls to a “to be determined” by the General Assembly organization leaning according to the purposes of the association. Has to use §2 para. 1.
- 11 Final Provisions
(1) These Articles of Association were approved at the general meeting on 17.01.2014. They will come into force with immediate effect.
(2) A copy of the applicable articles of association must be given to each member.
